1. Introduction
Welcome to Webnity. These Terms of Service ("Terms") govern your use of our website and the services provided by Webnity S.R.L. ("we," "us," or "our").
By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.
2. Services
Webnity specializes in digital design and development services, including but not limited to:
- Web Design & UI/UX: Creating visual layouts and user interfaces.
- Webflow Development: Building and hosting websites using the Webflow platform.
- Strategy & Consulting: Digital branding and technical consultation.
The specific scope of work, timelines, and deliverables for each project will be defined in a separate Service Agreement or Proposal signed by both parties.
3. Client Obligations
To ensure the success of the project, you (the "Client") agree to:
- Provide Content: timely delivery of all text, images, and other assets required for the website.
- Permissions: Ensure you have the legal right/copyright to use all materials (images, fonts, text) you provide to us.
- Feedback: Provide timely feedback during the design and development process to avoid delays.
4. Intellectual Property
- Your Ownership: Upon full payment of all fees, you will own the final website design and the visual content created specifically for you.
- Our Ownership: Webnity retains the right to use the completed project in our Portfolio and for self-promotion (social media, website showcase), unless a Non-Disclosure Agreement (NDA) is signed.
- Tools & Code: We retain ownership of any underlying reusable code libraries, frameworks, or design tools used to create the project.
5. Payments and Refunds
- Payment Schedule: Terms of payment are defined in your specific invoice or contract (e.g., 50% deposit, 50% upon completion).
- Non-Refundable Deposit: Unless otherwise stated in the Service Agreement, the initial deposit is non-refundable as it covers our time for research and initial design concepts.
- Late Payments: We reserve the right to pause work or suspend the website if payments are not made by the due date.
6. Third-Party Services
Our websites are primarily built and hosted on Webflow. By using our services, you also acknowledge and agree to Webflow’s Terms of Service.
- Hosting: We are not responsible for downtime, server failures, or data loss caused strictly by third-party providers (Webflow, AWS, Domain Registrars).
- Domains: You are responsible for purchasing and renewing your domain name, although we can assist with the configuration.
7. Limitation of Liability
To the maximum extent permitted by applicable law, Webnity S.R.L. shall not be liable for any indirect, incidental, or consequential damages, including loss of profits, data, or business reputation, arising out of your use of our services or website.
8. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Romania. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Cluj, Romania.
9. Changes to Terms
We reserve the right to update or modify these Terms at any time. Any changes will be effective immediately upon posting the updated Terms on this page. We encourage you to review this page periodically.
